Buyer Agreement
TERMS OF USE:
1. IMPORTANT INFORMATION
You should carefully read the following Terms and Conditions. Your purchase or use of our Products(s) implies that you have read and accepted these Terms and Conditions.
This is a Contract between any Member intending to purchase a Product from the Site (“BUYER”) and Forward Slash Templates. For the purposes of these Terms of Use, the term, “Product(s)” means and includes website templates.
Product(s) purchased are supplied ‘as is’.
All Products(s) are thoroughly checked for standard compliance.
All Products(s) contain valid code, and are HTML, CSS and CMS compliant
2. LICENSE
Our website grants you two possible types of license to use the Product(s) sold through our website by independent content providers in accordance with these Terms and Conditions (the "license") issued by our company, as follows:
a) ONE TIME USAGE LICENSE
You may be granted a One Time Usage License in case of purchasing a website template at a Non-Unique Price. It enables you to use each individual product on a single website only, belonging to either you or your client. You have to purchase the same template again if you want to use the same design in connection with another or other projects;
b) BUYOUT PURCHASE LICENSE
You may be granted a Buyout Purchase License in case of purchasing a website template at a Buyout Purchase Price. This type of license guarantees that you are the last person to buy this template. After the buyout purchase occurs, the template is permanently removed from our sales directory and is never available to other customers again. You can redistribute or resell templates after Buyout Purchase Price. You can use the template on multiple (unlimited) websites.
3. IMAGERY, CLIPARTS AND FONTS
All imagery, clipart and fonts used in our Products are royalty-free and are the integral part of our Product(s). One Time Usage License gives you the right to use images, clipart and fonts only as a part of the website you build using your template. You can use imagery, clipart and fonts to develop one project only. Any kind of separate usage or distribution is strictly prohibited. All images and illustrations used in templates come in a single layer, as is.
4. MODIFICATIONS
If you have not received the Buyout License, you shall not place any of our Products, modified or unmodified, on a diskette, CD, website or any other medium. You also shall not offer them for redistribution or resale of any kind without prior written consent from our company.
5. ASSIGNABILITY
You shall not sub-license, assign, or transfer the any mentioned above to any entity without prior written consent from our company.
6. DAMAGE/ LOSS OF FILES
In case of any missing, corrupt or damaged files from the customer side, we will be able to provide you with replacement template data. This will be in the format of an email containing the original template files that you first received in a compressed zip folder. We do not offer a data back-up service so if files have been lost, corrupt or damaged, we cannot repair or replace the files to the modifications you made. Our company cannot be held accountable for any loss of files, damage or corruption to files due to any circumstances.
7. OUR REFUND POLICY
Since our website is offering non-tangible, irrevocable goods we do not issue refunds after the product is shipped, which you acknowledge prior to purchasing any Product(s) at our site. We only make exceptions with this rule when the Product(s) appears to be not-as-described on a case by case basis at our sole discretion. The deadline for any refund claim is one week after the delivery date. The refund is issued to you after we receive a Waiver of Copyright signed by you. This is a required condition.
8. OWNERSHIP
You do not claim intellectual property right or exclusive ownership to any of our Products, modified or unmodified. All Products(s) are property of independent content providers. Our Products are provided "as is" without warranty of any kind, either expressed or implied. In no event shall our company or its agents be liable for any damages including, but not limited to, direct, indirect, special, punitive, incidental or consequential, or other losses arising out of the use of or inability to use our Products.
9. INSTALLATIONS
We do not install any of our Products which require installation. Installation is a paid service which is not included in the package price.
10. ANTIFRAUD CHECK
Customer purchase can be suspended for manual antifraud check for 10-20 minutes as well as it can be suspended for a longer term for more serious investigations. Antifraud check occurs because of growing number of fraud transactions from persons who are not actual cardholders of the credit cards used during purchase.
11. THIRD-PARTIES SERVICES
We may use third parties to provide certain services accessible through the website. Our website does not control these third parties or their services, and you agree that our company will not be liable to you in any way for your use of such services. These third parties may have their own terms of use and other policies. You agree to comply with such terms and policies as well as these. If any such terms or policies conflict with our terms, agreements or policies, you must comply with those of our website.
12. INFORMATION DISCLOSURE
You may not disclose any order information including, but not limited to, Order ID, download link, etc.
Our company reserves the right to change or modify these terms with no prior notice. All new amendments to the terms and conditions will be posted at this location on this website.

Seller Agreement
TERMS OF USE:
1. IMPORTANT INFORMATION
You should carefully read the following Terms and Conditions. Your using our services implies that you have read and accepted these Terms and Conditions.
This is a Contract between any Member intending to upload data onto the Site (“Seller”) and Forward Slash Templates. For the purposes of these Terms of Use, the term, “Supplier Product(s)” means and includes (i) website templates and other digital designs, including digital embodiments thereof uploaded by the Seller to the Site, and (ii) any related descriptive or other information or data provided by the Seller.
2. INTELLECTUAL PROPERTY
Seller hereby grants to Forward Slash Templates a royalty-free, worldwide license and right to copy, display, market, use, perform, distribute, and modify Supplier Products(s), as further set forth below (the “Seller-License”). All intellectual property rights, if any, in and to any modifications to Supplier Products(s), including any derivative works, made by Forward Slash Templates are hereby assigned to Seller (“as is”, without warranty or representation of any kind), subject only to the Seller-License, and shall also constitute “Supplier Template(s)” for the purposes of these Terms of Use. Seller hereby grants the following license and rights to Forward Slash Templates (the “Seller-License”):
a. The royalty-free, worldwide, perpetual license and right to use, post, reproduce, distribute, publish, transmit, package, repackage, modify, and publicly perform or display Supplier Products(s) and Supplier’s trade- and service marks in connection with Forward Slash Templates marketing or other business operations, including the right to utilize, create, produce, and publish descriptions of the Supplier Products(s) on the Site and the right to use, post, reproduce, distribute, publish Supplier Products(s) and Supplier’s trade- and service marks for Site marketing, sales, and promotional purposes whether on the Site or through other websites or third parties; and
b. As to any Supplier Products(s), the Seller-License set forth in the preceding subparagraph (1.a.) shall continue and shall be exclusive to Forward Slash Templates until sixty days (60) after Forward Slash Templates receipt of written notification from Seller that Seller wishes to remove such Supplier Products(s) from the Site. This term shall only apply if the Seller selects the Supplier Product(s) to be exclusive to Forward Flash Templates.
Forward Slash Templates Terms of Use prohibit any Supplier Products(s) or any other material that infringes on any patent, trademark, copyright, trade secret, right of privacy, or any other applicable law or proprietary right to be uploaded to the Site. By uploading Supplier Products(s), the Seller warrants that he/she owns all proprietary rights, including copyright, in and to the Supplier Products(s). If Supplier Products(s) is posted for sale, the Seller hereby grants Forward Slash Templates the right to transfer ownership of such Supplier Products(s) to a purchasing member of Forward Slash Templates in accordance with these terms.
Ownership of the Supplier Products(s) shall be retained by the Seller until sold, no transfer of ownership is granted to Forward Slash Templates or any third party until sold.
It is agreed that all intellectual property rights, including title and copyright, in and to the uploaded Supplier Products(s) is retained by the Seller at all times.
The Seller acknowledges that no monetary or financial compensation is owed or required to be paid to the Seller by Forward Slash Templates or any of its directors, officers, employees, partners, agents or members for the rights granted herein by the Seller. Notwithstanding the foregoing, Forward Slash Templates currently acknowledges that its policy is to provide certain payments to the Seller whenever Supplier Products(s) uploaded by the Seller is sold. The parties agree that Forward Slash Templates may amend such policy as reasonable business objectives may from time to time require.
The Seller agrees that neither Forward Slash Templates nor any of its directors, officers, employees, partners or agents shall be liable for any damages, whether direct, indirect, consequential or incidental, arising out of the use of, or the inability to use, the Supplier Products(s). The Seller further acknowledges that he/she is legally responsible for any challenges made by a third party regarding copyright in the Supplier Products(s).
3. ACCEPTANCE STANDARDS
Forward Slash Templates have the right to decline Supplier Product(s) that do not meet a suitable template standard. Suppliers Product(s) showing image compositions from Shutterstock, iStockphoto or similar image banks, shall not be accepted.
4. FEES
Except as otherwise noted, creating a user account with Forward Slash Templates is free.
5. COMMISSION
The Seller shall earn 65% commission on any Supplier Product(s) sold through the Forward Slash Templates website.
Commission payments shall be shall be paid on a monthly basis at the end of each month, a month in arrears.
6. REMOVAL
Forward Slash Templates reserves the right to remove Supplier Products(s) and User Submissions without prior notice. Additionally, Forward Slash Templates reserves the right to terminate a User's access to the website, if it is determined that the user is a repeat infringer. A repeat infringer is a User who has been notified of infringing activity more than once and/or has had a Supplier Products(s) or Submission removed from the website more than one time.
7. INDEMNIFACTION
The Seller agrees to indemnify, defend and hold Forward Slash Templates and its officers, directors, owners, agents, information providers and licensors (collectively, “Forward Slash Templates Party”) harmless from and against any and all claims, liability, losses, costs and expenses (including attorneys' fees) incurred by any Forward Slash Templates Party in connection with: (i) any use or alleged use of the web site under the Seller's member name by any person, whether or not authorized by the Seller; (ii) any Supplier Products(s) uploaded under the Seller's member name; or (iii) any breach of the Seller's Warranties contained in this Contract. Forward Slash Templates reserves the right, at the Seller's expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by the Seller, and in such case, the Seller agrees to cooperate with Forward Slash Templates defence of such claim.
8. WARRENTIES
The Seller warrants that he or she has the right to grant the License contained in this Contract to Forward Slash Templates and its members.
The Seller warrants that he or she has designed the Supplier Product(s) themselves, and NOT previously purchased from another website
The Seller warrants that he or she is supplying original Supplier Product(s) and NOT a copy.
The Seller makes no warranty, expressed or implied, including any implied warranties of merchantability or fitness for a particular purpose. The Supplier Products(s) is supplied ''as is''.
Our company reserves the right to change or modify these terms with no prior notice. All new amendments to the terms and conditions will be posted at this location on this website.
